Welcome to Synnc! These terms and conditions ("Terms of Service") govern your use of our services ("Services") through our website located at synnc.io and other interactive properties. By using our Services, you agree to these Terms of Service.
1. Acceptance of Terms
By accessing and using the Services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Services. These Terms of Service constitute a binding legal agreement between you and Synnc, governing your use of the Services. You may not use the Services if you are barred from receiving them under the laws of the applicable jurisdiction. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.
2. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. It is your responsibility to review these Terms periodically for changes. If you do not agree to the new terms, you must stop using the Services.
3. Access to Services
Synnc grants you a non-exclusive, non-transferable, limited license to use the Services, subject to these Terms of Service. We reserve the right to modify or discontinue the Services, temporarily or permanently, with or without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Services, to users, including registered users. You are responsible for making all arrangements necessary for you to have access to the Services and ensuring that all persons who access the Services through your internet connection are aware of these Terms of Service and comply with them.
4. Registration and Account Security
To access certain features of the Services, you may be required to register and create an account. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account and for maintaining the security of your account password. You must notify us immediately of any breach of security or unauthorized use of your account. Synnc will not be liable for any losses caused by unauthorized use of your account, but you may be liable for the losses of Synnc or others due to such unauthorized use. You agree not to use another user’s account without permission. You must ensure that your account information is accurate and up-to-date at all times. You agree to comply with all applicable laws and regulations when using the Services.
5. User Conduct
By using the Services, you agree to use them only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited activities include, but are not limited to:
Violating any local, national, or international law or regulation.
Transmitting any material that is defamatory, offensive, or otherwise objectionable.
Harassing, abusing, or harming another person.
Transmitting any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation.
Transmitting any material that contains viruses or any other harmful computer code, files, or programs.
Synnc reserves the right to investigate and take appropriate legal action against anyone who, in Synnc’s sole discretion, violates this provision, including, without limitation, removing the offending content from the Services, suspending or terminating the account of such violators, and reporting such activities to law enforcement authorities.
6. Intellectual Property
All content on the Services, including but not limited to text, software, scripts, graphics, photos, sounds, music, videos, interactive features, and trademarks, service marks, and logos contained therein, are owned by or licensed to Synnc, subject to copyright and other intellectual property rights under applicable laws. You may access and use the content for your personal, non-commercial use only. Any use of the content other than as specifically authorized herein, without the prior written permission of the respective owners, is strictly prohibited and will terminate the license granted herein.
7. User Contributions
You retain ownership of any content you submit, post, or display on or through the Services. By submitting, posting, or displaying content, you grant Synnc a worldwide, non-exclusive, royalty-free license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such content in connection with the Services. You represent and warrant that you have the necessary rights to grant us the license described in these Terms of Service. You agree that this license includes the right for Synnc to make your content available to other companies, organizations, or individuals who partner with Synnc for the syndication, broadcast, distribution, or publication of such content on other media and services, subject to our terms and conditions for such content use.
8. Dispute Resolution
You are solely responsible for your interactions with other users of the Services and any other parties with whom you interact through the Services. Synnc reserves the right, but has no obligation, to become involved in any way with these disputes. If you have a dispute with one or more users, you release Synnc (and its officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”
9. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Synnc makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content, materials, or products included on the Services. You expressly agree that your use of the Services is at your sole risk. To the full extent permissible by applicable law, Synnc disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Synnc does not warrant that the Services, its servers, or e-mail sent from Synnc are free of viruses or other harmful components.
11. Limitation of Liability
Synnc will not be liable for any damages of any kind arising from the use of the Services, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing. This limitation of liability applies to all damages of any kind, including but not limited to direct, indirect, incidental, punitive, and consequential damages, loss of data, income, or profit, loss of or damage to property, and claims of third parties. In no event shall Synnc’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Services.
12. Governing Law
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Manitoba, Canada, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Services shall be instituted exclusively in the federal courts of Manitoba, Canada or the courts of Manitoba, Canada. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
